Ayers (the “Selling Shareholder”) has agreed to sell 2,500,000 shares of the Company’s common stock in an underwritten public offering (the “Secondary Offering”). Keefe, Bruyette & Woods, Inc., A Stifel Company, is acting as the sole book-running manager for the Secondary Offering. The Company is not selling any stock in this transaction and will not receive any proceeds from the Secondary Offering.
Mr. Ayers is currently the Vice Chairman of the Board of Directors of the Company. Upon completion of the Secondary Offering, Mr. Ayers is expected to continue to own approximately 23.5% of the Company’s outstanding common stock, including shares owned by Mr. Ayers indirectly through Ayers Asset Management, Inc.
