As previously disclosed in Urstadt Biddle Properties Inc.'s (the "Company's") Form 10-Q for the three months ended January 31, 2005, the Company has entered into a purchase and sale agreement, dated February 3, 2005, to acquire a community shopping center property located in northern Westchester County, New York, from an unrelated third party. The purchase price for the property is approximately $28.4 million (including approximately $8.2 million of assumed mortgage debt). The property contains approximately 200,000 square feet of rentable space. According to records provided by the seller, the property is currently 99% leased. The closing of the acquisition of this property is subject to customary closing conditions. The Company is filing, as part of this Current Report on Form 8-K, a statement regarding computation of ratios of earnings to combined fixed charges and preferred stock dividends for the three months ended January 31, 2004 and 2005 and the five years ended October 31, 2000, 2001, 2002, 2003 and 2004.
