Item 8.01 Other Events.

     On February 14, 2005, First Interstate BancSystem, Inc. (“FIBS”) received notification from its independent appraiser, Alex Sheshunoff & Co. Investment Banking, that the minority appraised value of its common stock as of December 31, 2004 was $63.00 per share, an increase of $7.50 from the September 30, 2004 valuation.

     FIBS was notified by its independent appraiser that certain assumptions underlying the valuation were modified from prior valuations due to the current sustained low interest rate environment and other factors.
