Item 7.01 Regulation FD Disclosure.

     On June 27, 2011, Aircastle Limited issued a press release, attached hereto and incorporated herein by reference as Exhibit 99.1, announcing that its Board of Directors declared a second quarter cash dividend on its common shares of $0.125 per share. The dividend is payable on July 15, 2011 to holders of record of Aircastle’s common shares on July 7, 2011.
