Item 12.   Results of Operation and Financial Condition.

On July 8, 2004, Computer Associates International, Inc. (CA) issued a press release announcing preliminary financial results for the quarter ended June 30, 2004.  A copy of the press release is attached as Exhibit 99.1 hereto. Also attached as Exhibit 99.2 is a press release issued by CA on May 25, 2004, which is referred to in the July 8, 2004 press release because it contains certain financial information.  The information contained in the press releases shall be considered to be filed under the Securities Exchange Act of 1934, as amended.
