Explanatory Note
This Current Report on Form 8-K/A (the “Amendment”) is being filed as an amendment to the Current Report on Form 8-K filed by Builders FirstSource, Inc. (the “Company”) with the Securities and Exchange Commission on May 25, 2017 (the “Original Report”). The sole purpose of this Amendment is to disclose the Company’s decision regarding how frequently the Company will hold an advisory stockholder vote on executive compensation. No other changes have been made to the Original Report.
Item 5.07 Submission of Matters to a Vote of Security Holders.
At the Company’s Annual Meeting of Stockholders held on May 24, 2017, the stockholders voted on a proposal to approve, on an advisory basis, the frequency of future advisory votes on executive compensation. As previously reported in the Original Report, a majority of votes were cast in favor of holding this vote once every year. Accordingly, the Board of Directors has determined that the Company will hold an advisory vote on executive compensation once every year until the next required advisory vote on the frequency of the same, which will be no later than the Company’s annual meeting of stockholders in 2023.
