Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 6, 2013, P. H. Glatfelter Company (the "Company") reported that Dr. Debabrata Mukherjee, Vice President and General Manager, Specialty Papers Business Unit, and a named executive officer, will be resigning from the Company, effective on or about May 31, 2013, to accept a position with another company.

Further, the Company reported it had appointed Timothy R. Hess, Division Vice President, Engineered & Converting Products to succeed Dr. Mukherjee on an interim basis, pending completion of a search to fill Dr. Mukherjee's position.
