Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 22, 2010, Trinity Industries, Inc. announced that Mark W. Stiles, previously the Group President of Trinity's Construction, Marine, and Components Group, will transition to retirement. The terms of Mr. Stiles' transition agreement have not been finalized. On the same date, Trinity announced that William A. McWhirter II has assumed Mr. Stiles' role as Group President and is expected to step down as Trinity's Chief Financial Officer upon the appointment of his successor. It is expected that James E. Perry will be appointed to the position of Chief Financial Officer by the Board of Directors in May 2010.
