Item 8.01 Other Events.

On October 29, 2008, Lifevantage Corporation (the "Company") announced that the Company is entering the network marketing industry via independent distributorships in a press release entitled, "LifeVantage Announces Launch of Protandim® Into Multi-Billion Dollar Network Marketing Sales Channel." The Company will continue to have a retail and direct to consumer presence in addition to the independent distributorships.

The press release is attached as Exhibit 99.1 hereto, which is furnished under Item 8.01 of this report and shall not be deemed to be "filed" for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the "Exchange Act") or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended or the Exchange Act, regardless of any general incorporation language in such filing.
