Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 24, 2012, Altra Holdings, Inc., a Delaware corporation (the Company), granted 1,500 shares of restricted common stock to Glenn E. Deegan, the Companys Vice President, Legal and Human Resources, General Counsel and Secretary . The restricted stock award will vest in equal installments on August 15, 2012 and August 15, 2013. This grant was made pursuant to the discretionary authority granted by the Personnel & Compensation Committee of the Board of Directors to the Companys CEO to award up to an aggregate of 25,000 shares of restricted common stock to Company employees for services the CEO determines to be beneficial to the Company and above and beyond the scope of such employees regular services.
