On May 24, 2011, Glen Fleischer resigned his position as President, Pet Products Division of Central Garden & Pet Company (the “Company”) as part of an organizational restructuring of the Company’s Pet Segment. Frank Palantoni, the Company’s Executive Vice President and President-Pet Segment, will assume Mr. Fleischer’s responsibilities. In connection with his resignation, Mr. Fleischer and the Company expect to enter into a Separation Agreement and General Release of All Claims, which will provide for nine months of severance.
