Item 1. Security and Issuer
This statement on Schedule 13D (this Statement) relates to the Common Stock, par value $0.05 per share (the Shares) of Regis Corporation, a Minnesota corporation (the Issuer or the Company). The Issuers principal executive offices are located at 7201 Metro Boulevard, Edina, Minnesota 55439. This Statement is filed jointly pursuant to Commission Rule 13d-1(k)(1).
Item 2. Identity and Background
Mandarin, Inc. (Mandarin) is an international business corporation organized under the laws of the Bahamas. Joseph Lewis is a director and the President of Mandarin and is the ultimate indirect owner of, and controls, Mandarin. Joseph Lewis is a permanent resident of the Bahamas and a citizen of the United Kingdom. Mandarin and Joseph Lewis are principally engaged in business as private investors. The business address of each of Mandarin and Joseph Lewis is c/o Cay House, P.O. Box N-7776, Lyford Cay, New Providence, Bahamas.
During the last five years, neither Mandarin nor Joseph Lewis has been (i) convicted in a criminal proceeding (excluding traffic violations or similar misdemeanors) or (ii) a party to a civil proceeding of a judicial or administrative body of a competent jurisdiction and as a result of which was or is subject to a judgment, decree or final order enjoining future violations of, or prohibiting or mandating activities subject to, federal or state securities laws or finding any violation with respect to such laws.
Mandarin and Joseph Lewis are each a Reporting Person and are referred to collectively in this Statement as the Reporting Persons.
Set forth on Schedule A to this Statement, and incorporated herein by reference, is the (a) name, (b) residence or business address, (c) present principal occupation or employment, and (d) citizenship, of each executive officer and director of Mandarin, and (e) name of any corporation or other organization in which such occupation or employment is conducted, together with the principal business and address of any such corporation or organization other than Mandarin for which such information is set forth.
During the last five years, to the best of each of the Reporting Persons knowledge, none of the individuals set forth on Schedule A, (a) has been convicted in a criminal proceeding (excluding traffic violations or similar misdemeanors) or (b) has been party to a civil proceeding of a judicial or administrative body of competent jurisdiction and as a result of such proceeding was or is subject to a judgment, decree or final order enjoining future violations of, or prohibiting or mandating activities subject to, federal or state securities laws or finding any violation with respect to such laws.
Item 3. Source and Amount of Funds or Other Consideration
As of the date hereof, Mandarin and Joseph Lewis may each be deemed the beneficial owner of 3,303,400 Shares owned directly by Mandarin as described below in Item 5. The aggregate purchase price for the 3,303,400 Shares was approximately $114,387,000 and was paid by Mandarin out of working capital.
Item 4. Purpose of Transaction
Mandarin intends to hold the Shares for investment purposes. Mandarin may, from time to time, acquire additional Shares in the open market or in privately negotiated transactions subject to the availability of additional Shares at prices deemed favorable, the Companys business or financial condition and other factors and conditions. Alternatively, Mandarin may sell all or a portion of the Shares in the open market or in privately negotiated transactions.
Except as set forth above in this Item 4, Mandarin has no present plans or proposals that relate to or would result in: (a) the acquisition by any person of additional securities of the Company, or the disposition of securities of the Company; (b) an extraordinary corporate transaction, such as a merger, reorganization or liquidation involving the Company or any of its subsidiaries; (c) a sale or transfer of a material amount of assets of the Company or of any of its subsidiaries; (d) any change in the present board of directors or management of the Company, including any plans or proposals to change the number or term of directors or to fill any existing vacancies on the board; (e) any material change in the present capitalization or dividend policy of the Company; (f) any other material change in the Companys business or corporate structure, including, but not limited to, any plans or proposals to make any changes in the Companys investment policy for which a vote is required by Section 13 of the Investment Company Act of 1940; (g) changes in the Companys charter, bylaws or instruments
corresponding thereto or other actions which may impede the acquisition of control of the Company by any person; (h) causing a class of securities of the Company to be delisted from a national securities exchange or to cease to be authorized to be quoted in an inter-dealer quotation system of a registered national securities association; (i) a class of equity securities of the Company becoming eligible for termination of registration pursuant to Section 12(g)(4) of the Securities Exchange Act of 1934, as amended; or (j) any action similar to any of those enumerated above.
Item 5. Interest in Securities of the Issuer
As of August 2, 2006, the Reporting Persons may be deemed to beneficially own, in the aggregate, 3,303,400 Shares, representing 7.2% of the Issuers outstanding Shares (based on 45,658,720 Shares stated to be outstanding as of May 8, 2006 by the Issuer in the Issuers Form 10-Q filed with the Securities and Exchange Commission on May 9, 2006). Mandarin has sole voting power and sole dispositive power with regard to the 3,303,400 Shares which it owns directly. As an officer and director of Mandarin, Joseph Lewis may be deemed to have shared voting power and shared dispositive power with regard to such Shares.
