Results of Operations and Financial Condition.

On August 25, 2008, Carpenter Technology Corporation issued a press release announcing an increase in its special litigation reserve, as well as updates to its fourth quarter 2008 results.  A copy of the press release is furnished as Exhibit 99.1 to this Form 8-K and shall not be deemed to be “filed” for any purpose.
