Item 1. Description of Registrant’s Securities to be Registered

 

On February 1, 2019, the Board of Directors of Innodata Inc. (the “Company”) declared a dividend of one preferred share purchase right (a "Right") for each outstanding share of common stock, par value $0.01 per share. The dividend is payable on February 15, 2019 to the stockholders of record as of the close of business on February 15, 2019.

 

The description and terms of the Rights are set forth in a Rights Agreement (which includes the Form of Certificate of Designation of Series C Participating Preferred Stock as Exhibit A, the Form of Rights Certificate as Exhibit B, and the Summary of Rights as Exhibit C) (the “Rights Agreement”), dated as of February 1, 2019 between the Company and American Stock Transfer & Trust Company, LLC as Rights Agent.

 

The foregoing summary of the Rights Agreement does not purport to be complete and is qualified in its entirety by reference to the full text of the Rights Agreement, which is filed as Exhibit 4.1 to the Current Report on Form 8-K that the Company filed with the Securities and Exchange Commission on February 4, 2019, and is incorporated herein by reference.
