Item 2.02 | Results of Operations and Financial Condition. |
On March 15, 2016, the Company issued a press release containing the Company's financial results for the fourth quarter of the fiscal year ended January 30, 2016 (“Fiscal 2015”) and for Fiscal 2015, and providing a preliminary estimated range of adjusted net income per diluted share for the first quarter of the fiscal year ending January 29, 2017 (“Fiscal 2016”) and for Fiscal 2016. A copy of the press release is being furnished as Exhibit 99.1 to this Current Report on Form 8-K.
The information in this Current Report is being furnished pursuant to Item 2.02 of Form 8-K, insofar as it discloses historical information regarding the Company’s results of operations and financial condition. On March 15, 2016, the Company announced that its Board of Directors has approved the payment of a quarterly cash dividend of $0.20 per share, with such dividend to be payable on April 28, 2016 to holders of record of the Company’s common stock on April 7, 2016.
