Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On October 7, 2014, TigerLogic Corporation (the Company) received a letter from the Listing Qualifications Department of The NASDAQ Stock Market indicating that the closing bid price for the Companys common stock for the last 30 consecutive business days had been below the minimum $1.00 per share required for continued listing on The NASDAQ Capital Market under NASDAQ Listing Rule 5550(a)(2). The letter states that the Company will be afforded 180 calendar days, or until April 6, 2015, to regain compliance with the minimum bid price requirement. In order to regain compliance, shares of the Companys common stock must maintain a minimum closing bid price of at least $1.00 per share for a minimum of ten consecutive business days. In the event the Company does not regain compliance within the 180-day period, NASDAQ may grant the Company an additional 180 calendar days to regain compliance provided the Company meets certain specified requirements.
The Company intends to actively monitor the bid price for its common stock and will consider available options to regain compliance with the NASDAQ minimum bid price requirement.
