Entry into a Material Definitive Agreement. |
On August 21, 2006, the Company entered into an indemnification agreement with Donald Layton, who was elected as a director of the Company at its annual general meeting in May 2006. This agreement is in the form of the indemnification agreement entered into between the Company and its other directors and executive officers, which agreement is described in the Company’s current report on Form 8-K filed December 21, 2005. The form of the Company’s indemnification agreement with its executive officers and directors was filed as exhibit 10.42 to the Company’s annual report on Form 10-K for the year ended December 31, 2005.
