On May 21, 2009, Knight Transportation, Inc., an Arizona corporation (the "Company"), issued a press release announcing that its Board of Directors increased the Company's quarterly cash dividend and declared a quarterly cash dividend of $0.05 per share of common stock, an increase of 25%.  The dividend is payable to the Company's shareholders of record as of June 5, 2009, and is expected to be paid on June 26, 2009.  A copy of the press release is attached to this report as Exhibit 99.
