Item 2.02. Results of Operations and Financial Condition.
     On August 26, 2005, Cortland Bancorp issued a news release announcing that the Board of Directors of Cortland Bancorp has declared a quarterly dividend of $0.22 per share payable October 3, 2005, to shareholders of record September 9, 2005. The news release also reviews the Company’s financial results for the quarter and six months ended June 30, 2005. A copy of this news release is included as Exhibit 99 and incorporated herein by reference.
