Long-Term Incentive Plan (formerly known as the 2004 Stock Incentive Plan) (the Plan). A total of 375,000 shares of the Common Stock reserved under the Plan have previously been registered on Registration Statement on Form S-8 (Registration No. 333-117875), filed on August 2, 2004 (the Original Form S-8).
