Item 5. Other Events.
On June 24, 2004, the Board of Directors of Mayors Jewelers, Inc., a Delaware corporation (the Company) approved a limited waiver of the Companys Code of Conduct and Code of Ethics for Senior Financial Officers in order for Thomas A. Andruskevich, the Companys President, Chief Executive Officer and Chairman of the Board, to serve on the board of directors of the Robbins Company. The Robbins Company is a privately held company specializing in corporate recognition programs. Their business is competitive with certain of the Companys business lines. However, the Companys Board of Directors believes that it is in the best interests of the Company to allow Mr. Andruskevich to serve on the Board of the Robbins Company and therefore has decided to waive the Companys Code of Conduct and Code of Ethics for Senior Financial Officers which prohibits directors of the Company from serving on the board of a competitor. Mr. Andruskevich has not yet decided to accept the position with the Robbins Company.
