OTHER EVENTS On July 9, 2001, the Registrant entered into an amended and restated revolving credit facility for $30,000,000 and completed the private placement of $125,000,000 aggregate principal amount of its 11% Senior Notes due 2008 in a private offering. The Senior Notes are guaranteed by certain of the Registrant's domestic subsidiaries. The Senior Notes have not been registered under the Securities Act of 1933, as amended (the "Securities Act") or any state securities laws and may not be reoffered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state securities laws.
