ITEM 8.01. OTHER EVENTS.
On May 25, 2006 L-3 Communications Holdings, Inc (L-3) issued a press release in connection with its previously reported litigation with OSI Systems, Inc (OSI) disclosing that a jury found in favor of OSI and awarded $125.6 million of damages. The company believes this verdict and the damages awarded are inconsistent with the law and evidence presented. The company intends to move to have the verdict set aside and, if necessary, to appeal. A copy of this press release is attached hereto as Exhibit 99.1 and is incorporated into this Item 8.01 by reference.
