Item 5.02.		Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

     On November 26, 2007, James F. Wade resigned as a member of the Board of Directors of MetroPCS Communications, Inc. (the “Company”) and from the Company’s Nominating and Governance Committee and Compensation Committee. Mr. Wade’s resignation was not caused by any disagreement with the Company or with Company management relating to the Company’s operations, policies or procedures.
