ITEM 5.03(a). AMENDMENTS TO ARTICLES OF INCORPORATION OR BYLAWS.
On October 19, 2006, the Weyerhaeuser Company Board of Directors approved an amendment to the
company Bylaws. The Bylaw amendment provides that shares of the corporation do not need to be
represented by certificates. A written statement containing the information required on
certificates will be sent to shareholders after the issuance or transfer of shares without
certificates.
