Item 8.01. Other Events.
On August 14, 2006, BCB Bancorp, Inc. (the "Company") issued a press release
disclosing that its Board of Directors declared a special cash dividend of $0.30
per share. The dividend will be paid on September 20, 2006 to the stockholders
of record as of the close of business on September 1, 2006. This is the
Company's first cash dividend since opening for business in November of 2000.
A copy of the press release is included as Exhibit 99.1 to this report.
