INFORMATION CONTAINED IN THIS FORM 6-K REPORT

On January 28, 2019, Nordic American Offshore Ltd. (the “Company”) effected a one-for-ten reverse stock split (the “RSS”). Effective as of the open of business on January 28, 2019, the par value of the Company’s common shares is now $0.10.

Attached to this Report on Form 6-K (the “Report”) as Exhibit 99.1 is a press release of the Company dated January 23, 2019, announcing the RSS.

Attached to this Report as Exhibit 4.1 is a copy of the new form of share certificate for the Company’s post-RSS common shares.
