         In accordance with General Instruction B.2. of Form 8-K, the following

Section 18 of the Securities Exchange Act of 1934, nor shall such information

         On June 29, 2005, St. Mary Land & Exploration Company issued a
press release announcing an agreement to acquire oil and gas properties and
providing an update of its operations for the second quarter of 2005 and its
guidance for the second quarter and full year 2005.  As indicated in the press
release, the Company has scheduled a related 2005 second quarter earnings
teleconference call for August 4, 2005, at 8:00 am (MDT). A copy of the press
release is furnished as Exhibit 99.1 to this report.
