Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On October 25, 2005, Willie M. Davis, Philip G. Heasley, William A. Imparato, Donald M. Koll, General William Lyon and Frank P. Willey resigned from the Board of Directors of Fidelity National Financial, Inc. (the “Company”) in connection with their joining the Board of Directors Fidelity National Title Group, Inc., a subsidiary of the Company (the “Title Group”). Messrs. Davis, Heasley, Imparato, Koll, Lyon and Willey joined the Board of Directors of the Title Group on October 18, 2005 upon the completion of the Company’s distribution of 17.5% of the Title Group’s common stock to the shareholders of the Company.
