Item 1.02. Termination of a Material Definitive Agreement.

Reference is made to the disclosure under Item 5.02 of this Current Report, which disclosure is incorporated by reference into this Item 1.02.

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 1, 2008, Gary C. Hanna provided notice to TETRA Technologies, Inc. (“TETRA”) that he would be resigning as Senior Vice President of TETRA effective March 1, 2008. As a result of his resignation, the letter agreement dated March 20, 2002 by and between Mr. Hanna and TETRA will terminate on the effective date of Mr. Hanna’s resignation. The letter agreement was filed as Exhibit 10.8 to TETRA’s Annual Report on Form 10-K for the year ended December 31, 2001 filed with the Securities and Exchange Commission on March 29, 2002 and is incorporated herein by reference.
