Item 2.02. Results of Operations and Financial Condition.

On January 13, 2005, TETRA Technologies, Inc. (the “Company”) issued a press release estimating its financial results for the fourth quarter of 2004 and announcing its estimated 2005 earnings guidance. The Company expects to release audited results for the fiscal year ended December 31, 2004, following the completion of the full audit in late February, 2005. The press release is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.
