EXPLANATORY NOTE
This amendment on Form 8-K/A supplements Ashland Inc.'s Form 8-K filed
on February 22, 2005 with the Securities and Exchange Commission. This Form
8-K/A is being filed to correct information on Exhibit 99.6 which was
reflected incorrectly on Ashland's Form 8-K filed on February 22, 2005.
