Item 4.01.  Change in Registrant’s Certifying Accountant

 
Engagement of New Auditor

In a Form 8-K filed on September 8, 2011, Reading International, Inc. (“Reading,” the “Company,” “we,” “our” and “us”) announced that as a result of a competitive request for proposal process undertaken by the Audit Committee of the Board of Directors (the “Audit Committee”), that it had dismissed Deloitte & Touche, LLP (“Deloitte”) as the independent registered public accounting firm of the Company.  

Also on September 8, 2011, our Audit Committee approved the appointment of Grant Thornton LLP (“Grant Thornton”) as the Company’s new independent registered public accounting firm, subject to the completion of final acceptance procedures and execution of an Audit Engagement Letter.  On October 6, 2011, the Company formally engaged Grant Thornton as the Company’s independent registered public accounting firm.
