5.02           Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 1, 2008, the Company announced that William C. Denninger has been appointed Senior Vice President and Chief Financial Officer of the Company, effective December 1, 2008, succeeding Mr. Robert M. Garneau, 64, who retired on November 30, 2008.  Mr. Denninger joined the Company as Senior Vice President – Finance on November 17, 2008.

Information concerning Mr. Denninger that is required under Item 5.02 (c) of Form 8-K was previously filed under Item 5.02 of the Company's Current Report on Form 8-K filed November 13, 2008 and is incorporated herein by reference.
