Item 8.01. Other Events.

On January 16, 2006, Dominion Bond Rating Service Limited took, among other actions, the following actions with regard to the credit ratings assigned to Ford Motor Company ("Ford") and to Ford Motor Credit Company ("Ford Credit"):

·  
Lowered Ford's long-term debt rating to BB(low) from BB(high) and confirmed Ford's short-term debt rating at R-3(high);

·  
Lowered Ford Credit's long-term debt rating to BB from BBB(low) and lowered Ford Credit's short-term debt rating to R-3(high) from R-2(low); and

·  
Maintained a Negative outlook for Ford and Ford Credit.
