EXPLANATORY NOTE:
This 8-K/A amends and revises the form 8-K filed by Champion Industries, Inc. on August 19, 2005 and the 8-K/A Amendment No. 1 filed August 19, 2005 and is being filed to update Exhibit 99.1 to such 8-K and 8-K/A Amendment No. 1 to reflect a revision to the quarterly and year to date sales and cost of sales related to the three and nine months ended July 31, 2005.

    On August 19, 2005, Champion Industries, Inc. announced its financial results for the quarter ended July 31, 2005. The Company revised and updated its previously announced release of financial results on September 8, 2005.
