PART III - NARRATIVE

The principal reason that we cannot file our quarterly report on Form 10-Q for the fiscal quarter ended October 31, 2015 within the prescribed period without unreasonable effort is due to the impact on our closing process for the first fiscal quarter caused by the delay in filing our Annual Report on Form 10-K for the fiscal year ended July 31, 2015. We expect that we will be able to complete the work necessary to file our Form‑10‑Q for the fiscal quarter ended October 31, 2015 within the five day extension period provided by Rule 12b-25.
