DESCRIPTION OF AMENDMENT
ProAssurance Corporation (the “Registrant”) registered 1,420,516 shares of its common stock (the “Registered Shares”) with respect to the ProAssurance Corporation Incentive Compensation Stock Plan (the “Plan”) through a Registration Statement on Form S-8 (File No. 333-81444) originally filed with the Securities and Exchange Commission on January 25, 2002. No additional shares will be issued under the Plan. In accordance with the undertaking of the Registrant in Part II of the Registration Statement, this Post-Effective Amendment No. 1 is being filed to deregister and remove from registration as of the date hereof all shares of common stock registered under the Registration Statement that remain unissued under the Plan.
