On October 4, 2011, Jeffrey Schwartz notified U.S. Auto Parts Network, Inc. (the “Company”) of his resignation as a member of the Company’s Board of Directors, effective immediately. Mr. Schwartz’s resignation does not involve any disagreement with the Company, its management or its Board of Directors on any matter relating to the Company’s operations, policies or practices.
