Item 8.01.                      Other Events.
 
The 2008 Annual Meeting of Stockholders of U.S. Auto Parts Network, Inc. (the “Company”) will be held on May 2, 2008 at 10:30 a.m. Pacific Time, at the Torrance Marriott South Bay located at 3635 Fashion Way, Torrance, California.  Stockholder proposals intended to be considered for inclusion in the Company’s proxy materials for the 2008 Annual Meeting of Stockholders must have been received by the Company’s Secretary not later than January 15, 2008.  Under the advance notice requirements of the Company’s bylaws, all other stockholder proposals must be received by the Company's Secretary no later than March 15, 2008.
