Item 8.01 Other Events.

On October 6, 2008, Woodward Governor Company ("Woodward") acquired all of the outstanding capital stock of MotoTron Corporation and the intellectual property assets owned by its parent company, Brunswick Corporation (NYSE: BC), that are used in connection with the MotoTron business for approximately $17 million in cash, subject to certain adjustments.
