Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

Section 2.03 of the Bylaws of Huntington Bancshares Incorporated (Huntington) was amended effective July 16, 2008 to reflect the recent charter amendment eliminating the classified board structure and providing for the annual election of all directors as further described in Huntington’s Proxy Statement for its 2008 annual meeting of shareholders.

The Bylaws, as amended and restated, are filed as Exhibit 3.1 hereto.
