Item 1.01 Entry into a Material Definitive Agreement.

On November 16, 2005, Brush Engineered Materials Inc. (the "Company") entered into an amendment to its $40 million Precious Metals Agreement with Fleet Precious Metals Inc. ("Fleet"), a corporation operating as Bank of America Precious Metals. The amendment, among other things, increases availability under the facility to $46 million, provides the Company with increased flexibility with respect to acquisitions and investments and provides more favorable pricing. A copy of the amendment is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
