 Remarks: The reporting person has served as the Company's Principal Accounting Officer since December 16, 2003. However, he is not an "executive officer" for purposes of the 1934 Act, and he was not identified as an "officer" by the Company for purposes of Rule 16a-1(f).  All of the securities, the acquisition of which are reported on this Form 5 were acquired in exempt transactions by the reporting person during 2007 .  None of such acquired securities have been sold by the reporting person. |
