ITEM 8.01 OTHER EVENTS

On March 5, 2019, Cortland Bancorp (the “Company”) announced that the common stock of the Company has been approved by the NASDAQ Capital Markets for listing. Trading on the NASDAQ Capital Markets stock exchange will begin with the opening of trading on March 8, 2019 under the symbol “CLDB”. A press release regarding this announcement is attached hereto as Exhibit 99.1 and incorporated herein by reference.
