Upon completion of the merger such awards were assumed by Taylor Morrison Home Corporation and substituted with awards under the Taylor Morrison 2013 Omnibus Equity Award Plan.

EXPLANATORY NOTE

Taylor Morrison Home Corporation (the “Company”) is filing this registration statement to register an additional 457,564 shares of its Class A common stock, par value $0.00001 per share (the “Common Stock”), for issuance under the Taylor Morrison 2013 Omnibus Equity Award Plan (as amended and restated from time to time, the “2013 Plan”).

Pursuant to the Agreement and Plan of Merger, dated June 7, 2018 (the “Merger Agreement“), among the Company, Taylor Morrison Communities, Inc., Thor Merger Sub, Inc. (“Merger Sub”) and AV Homes, Inc. (“AV Homes”), on October 2, 2018, Merger Sub merged with and into AV Homes with AV Homes surviving (the “Merger”). Pursuant to the Merger Agreement, upon completion of the Merger, outstanding awards granted under AV Homes’ 2015 Incentive Compensation Plan and AV Homes’ Amended and Restated Incentive and Capital Accumulation Plan were assumed by the Company and substituted with awards under the 2013 Plan. This Registration Statement on Form S-8 relates to the shares of Common Stock that may be issuable in respect of such awards.

The Company previously filed a Registration Statement on Form S-8 on May 31, 2017 (File No. 333-218385, the “Existing Form S-8”) to register the 14,178,459 shares of Common Stock then authorized for issuance under the 2013 Plan. Pursuant to General Instruction E to Form S-8, the contents of the Company’s Registration Statement on the Existing Form S-8 are incorporated herein by reference except to the extent supplemented, amended or superseded by the information set forth herein. Only those items of Form S-8 containing new information not contained in the Existing Form S-8 are presented herein.
