Item 8.01 Other Events.

On September 14, 2016, Allergan plc (“Allergan”) and Vitae Pharmaceuticals, Inc. (“Vitae”) issued a joint press release announcing the execution of an Agreement and Plan of Merger (the “Merger Agreement”), dated September 13, 2016, by and among Augusta Merger Sub, Inc., a Delaware corporation and a wholly owned subsidiary of Allergan, Allergan Holdco US, Inc., a Delaware corporation and a wholly owned subsidiary of Allergan, and Vitae. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

Additionally, on September 14, 2016, Allergan distributed the following materials, copies of which are attached hereto as exhibits and incorporated herein by reference:

The tender offer for the outstanding common stock of Vitae referred to in this Form 8-K and related exhibits has not yet commenced.
