ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT

Multi-Color Corporation (the Company) entered into the Fourth Amendment to Credit Agreement with its lenders, LaSalle Bank National Association, PNC Bank National Association, Key Bank National Association and Harris Trust and Savings. The amendment, effective September 27, 2006, extends the expiration of the Company’s Credit Agreement for ninety days to November 1, 2007. A copy of the amendment is filed herewith as Exhibit 10.45.
