ITEM 1.01 MATERIAL DEFINITIVE AGREEMENT
Effective March 31, 2005, Key Tronic Corporation entered into a Tenth Amendment to Financing Agreement dated August 22, 2001 by and among Key Tronic Corporation and The CIT Group/Business Credit, Inc., the parties to which and the material terms and conditions of which are incorporated herein by reference to Exhibit 10.1 filed herewith.
