Item 9:    Regulation FD Disclosure

 

On July 30, 2003, Andrew U. Ferrari, a director of Trex Company, Inc. (the “Company”), and Roger A. Wittenberg, Executive Vice President, Recycling, of the Company, entered into sales plans pursuant to Rule 10b5-1 of the Securities Exchange Act of 1934, as amended, pursuant to which they may sell shares of the Company’s Common Stock. Under the Rule 10b5-1 sales plans, Mr. Ferrari may sell up to 530,000 shares of Common Stock through August 24, 2004, and Mr. Wittenberg may sell up to 520,000 shares of Common Stock through August 19, 2004.
